Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Daacoworks Technologies Pvt. Ltd. ("TamidaS", "we", "us", or "our") governing your access to and use of our Software-as-a-Service (SaaS) platform and related services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our services.

Service Description

TamidaS provides cloud-based enterprise software solutions including:

  • Computerized Maintenance Management System (CMMS)
  • IoT Platform for real-time monitoring and analytics
  • Workflow automation and business process management
  • Data analytics and reporting tools
  • Mobile applications for field operations
  • Integration services with third-party systems

The specific features and functionality available to you depend on your subscription plan and license type.

User-Based Licensing

License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes.

User Accounts

  • Named Users: Each license is assigned to a specific named user and cannot be shared
  • User Limits: You may not exceed the number of licensed users in your subscription plan
  • Account Security: You are responsible for maintaining the confidentiality of user credentials
  • Authorized Use: Users must be your employees, contractors, or authorized agents
  • License Transfer: User licenses may be reassigned to different individuals with 30 days notice
  • Concurrent Access: Multiple simultaneous logins from the same user account are prohibited

License Restrictions

You agree not to:

  • Share user credentials or allow unauthorized access
  • Exceed your licensed user count
  • Reverse engineer, decompile, or disassemble the software
  • Remove or modify any proprietary notices
  • Use the services for illegal or unauthorized purposes
  • Resell, sublicense, or distribute the services to third parties
  • Use the services to develop competing products

Subscription and Billing

Subscription Plans

  • Subscriptions are billed on a per-user, per-month or per-user, per-year basis
  • Pricing is based on the number of licensed users and selected features
  • Annual subscriptions receive a discount compared to monthly billing
  • Enterprise plans with custom pricing are available for large organizations

Payment Terms

  • Payment Methods: Credit card, bank transfer, or approved purchase order
  • Billing Cycle: Charges occur at the beginning of each billing period
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We may change prices with 30 days advance notice
  • Late Payments: Overdue accounts may be suspended after 15 days
  • Taxes: Fees are exclusive of applicable taxes (VAT, GST, sales tax)

Refund Policy

  • 30-day money-back guarantee for new customers (first subscription only)
  • No refunds for partial months or unused portions of annual subscriptions
  • Refunds processed within 10 business days to original payment method

Data Security and Privacy

Data Ownership

You retain all rights, title, and interest in your data. We do not claim ownership of any content, data, or information you upload to our platform.

Data Security

  • Industry-standard encryption (TLS 1.3 in transit, AES-256 at rest)
  • Regular security audits and penetration testing
  • SOC 2 Type II and ISO 27001 certified infrastructure
  • Multi-factor authentication (MFA) available
  • Role-based access control (RBAC)
  • Regular automated backups with 99.9% uptime SLA

GDPR Compliance

We are fully compliant with GDPR and act as a data processor for your data. We have implemented appropriate technical and organizational measures to ensure data protection. See our Privacy Policy for details.

Data Processing Agreement

For customers subject to GDPR, a Data Processing Agreement (DPA) is available upon request and forms part of these Terms.

Service Level Agreement (SLA)

Uptime Guarantee

  • Standard Plans: 99.5% monthly uptime
  • Premium Plans: 99.9% monthly uptime
  • Enterprise Plans: 99.95% monthly uptime with dedicated support

Maintenance Windows

Scheduled maintenance is performed during off-peak hours with advance notice. Emergency maintenance may occur without notice.

Support

  • Standard Support: Email support (24-48 hour response time)
  • Premium Support: Priority email and phone support (4-8 hour response time)
  • Enterprise Support: 24/7 dedicated support with 1-hour response time for critical issues

Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Engage in unauthorized access or security breaches
  • Harass, abuse, or harm others
  • Send spam or unsolicited communications
  • Interfere with or disrupt our services
  • Collect user data without consent
  • Impersonate others or provide false information

Violation of this policy may result in immediate suspension or termination of your account.

Intellectual Property Rights

The services, including all software, content, trademarks, and intellectual property, are owned by TamidaS and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You grant us a limited license to use, store, and process your data solely to provide the services.

Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in prohibited activities.

Effect of Termination

  • Your access to the services will be disabled
  • You have 30 days to export your data before deletion
  • No refunds for prepaid fees (except as required by law)
  • Provisions regarding confidentiality and liability survive termination

Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or completely secure. You use the services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAMIDAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless TamidaS from any claims, damages, losses, and expenses (including legal fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996.

For customers in the European Union, you may also have the right to bring proceedings in your local courts.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance of the updated Terms.
